PROGRAM:
This program explores the ethical issues confronting transactional lawyers.  Michelle will discuss the ethics issues that arise from the various roles of a transactional lawyer as legal advisor, negotiator, business advisor, or investigator.  Topics will include: managing the scope of engagement; conflicts in the transactional context including conflicts between former and current clients as well as between officers and the organization/client; ethics in negotiations, including omissions, dishonesty and candor; contract with represented parties; and ethics issue regarding confidentiality. 

PRESENTER: Michelle Galloway, Of Counsel, Cooley
Michelle’s technology litigation practice focuses on patent litigation and strategic counseling while advising clients on legal, strategic and technical issues including information management.  She also advises clients in the area of risk management, compliance, and ethics.  She has a certificate in Diversity and Inclusion from Cornell and has taken courses related to neuroscience and leadership.  She is a well-known speaker on a range of topics to both lawyer and non-lawyer audiences on a wide range of both legal and leadership topics such as attorney ethics, IP ethics, confidentiality and privilege, DEI (diversity, equity and inclusion) topics, elimination of bias (including differences related to gender, race, age, culture, and neurodiversity), health and wellness topics including mindfulness, ediscovery, patent litigation, and communication and influence strategies.  Michelle joined Cooley in August 1993 and was a partner of the firm from January 1997 through April 2000. She now serves as of counsel at Cooley while also teaching at Stanford and Santa Clara law schools. Prior to joining Cooley, she was a litigation associate in the Palo Alto office of Brown & Bain, where she focused on patent and copyright litigation. During 1995, she served as an assistant district attorney for the County of San Francisco.
